| CEIS will assist a loan review client on an interim basis to satisfy its annual credit review requirements. The assistance is offered as a temporary measure pending the client hiring the appropriate staffing. |

| If a bank is not a loan review client, CEIS has available resources to satisfy the organizations on-going credit analysis requirements. CEIS provides the service for a mutually agreed annual minimum annual fee. |
